By creating an account, accessing, or using Nilorax (“the Service”), you confirm that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Service.

You agree to use Nilorax only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law.
• Attempt to gain unauthorised access to any part of the Service, its servers, or any system connected to it.
• Use the Service to store, transmit, or process data belonging to individuals without their consent.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Introduce viruses, trojans, worms, or other malicious or harmful code into the Service.
• Use automated scripts, bots, or scrapers to access the Service without express written permission from NovaNest Apps.
• Attempt to probe, scan, or test the vulnerability of the Service or any network connected to it.
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein.

You are responsible for maintaining the confidentiality of your account credentials. You must notify NovaNest Apps immediately at contact us if you become aware of any unauthorised use of your account.

You are responsible for all activity that occurs under your account, whether or not authorised by you. NovaNest Apps will not be liable for any loss arising from unauthorised use of your account resulting from your failure to safeguard your credentials.

You must provide accurate, current, and complete information when creating your account and keep this information up to date.

Nilorax is a personal financial management tool. You are solely responsible for:

• The accuracy of all financial data you enter into the Service.
• Any financial decisions you make based on information displayed in the Service.
• Maintaining appropriate backups of your data where required.
• Ensuring that your use of the Service complies with all applicable tax laws and financial regulations in your jurisdiction.

Nilorax provides tools for organising and visualising financial information. It does not constitute financial advice, tax advice, or investment advice. You should consult a qualified professional before making significant financial decisions.

The Nilorax software, including its interface, design, source code, features, and documentation, is the intellectual property of NovaNest Apps and is protected by applicable copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial family financial management purposes in accordance with these Terms.

Your data. All financial data you enter into Nilorax remains your property. We claim no intellectual property rights over your data. You grant NovaNest Apps a limited licence to store and process your data solely to provide the Service to you.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, NovaNest Apps expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or completely secure.
• Any information obtained through the Service will be accurate or reliable.
• Defects in the Service will be corrected.

To the maximum extent permitted by applicable law, NovaNest Apps and its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with:

• Your access to or use of (or inability to access or use) the Service.
• Any conduct or content of any third party on the Service.
• Unauthorised access, use, or alteration of your data.
• Financial decisions made in reliance on information provided by the Service.

In jurisdictions that do not allow the exclusion or limitation of certain warranties or liability, NovaNest Apps's liability is limited to the maximum extent permitted by law.

By you. You may close your account at any time by contacting us. Upon closure, all your data will be permanently deleted from our systems within 30 days.

By us. NovaNest Apps reserves the right to suspend or terminate your account and access to the Service, without prior notice, if we have reason to believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. We will make reasonable efforts to notify you of any termination where legally permitted.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

You agree to indemnify, defend, and hold harmless NovaNest Apps and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of another.

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where NovaNest Apps is incorporated, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Effective date” at the top of this page and, where appropriate, notify you by email or via a notice in the Service. Your continued use of Nilorax after changes take effect constitutes your acceptance of the revised Terms.
